1. Agreement

Welcome to GroupOut, operated by GroupOut LLC (“GroupOut,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of the GroupOut mobile app, groupout.app, and related services (the “Services”).

By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use GroupOut.

Version 1.0 is an early public release. Features, venues, and availability may change as we expand.

2. Eligibility & Accounts

3. What GroupOut Is (and Is Not)

GroupOut is a real-time, venue-based social app for singles. It is not a dating app and does not algorithmically match users.

When you Go Live and arrive, you may appear in a venue roster, send pings, chat briefly, and confirm IRL meetings. Content is tonight-focused and ephemeral.

We do not conduct background checks and do not guarantee any interaction will lead to a meeting.

4. User-Generated Content

You are responsible for session photos, profile information, and messages (“User Content”). You retain ownership. You grant GroupOut a license to host, store, display, and distribute User Content only as needed to operate, secure, and improve the Services, including enforcement of these Terms.

Zero tolerance: GroupOut has no tolerance for objectionable content or abusive users. Objectionable content includes harassment, hate speech, threats, sexual exploitation, impersonation, spam, scams, and any illegal activity.

We may remove User Content that violates these Terms or applicable law. We review user reports and aim to act on credible reports within 24 hours by removing content and suspending or terminating offending accounts.

5. Photo Moderation

Session photos may be automatically screened by third-party tools before they are stored or shown. Photos that violate our guidelines may be rejected or removed. Repeated violations may result in suspension or termination.

6. User Conduct

You agree not to engage in unlawful, harmful, fraudulent, or abusive conduct.

Prohibited conduct includes, without limitation:

Safety tools: Users can block and report other users in-app (Browse profile sheet and Chat profile). Blocking removes the user from your feed immediately and notifies GroupOut. Reports are reviewed and we aim to act within 24 hours. For urgent in-person danger, contact 911 or local authorities first.

Always meet in public places, stay at or near the venue, tell someone your plans, and use good judgment.

7. Location & Notifications

Location is required for venue discovery, Go Live, and arrival detection. While Live, background location may be used to automatically Go Dark when you leave the venue. Push notifications require permission and can be disabled in settings. See our Privacy Policy.

8. Privacy

Our Privacy Policy explains data collection, ephemeral messages, session photos, automated moderation, and service providers.

9. Payments

Not applicable in v1.0. No paid subscriptions or in-app purchases in the initial public release.

10. Intellectual Property

GroupOut software, design, and trademarks are owned by GroupOut LLC or licensors. You may not copy, reverse engineer, or exploit the Services without permission.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE ARE NOT RESPONSIBLE FOR USER CONDUCT OR OFFLINE MEETINGS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUPOUT LLC WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY WILL NOT EXCEED $100 USD OR AMOUNTS YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER (TYPICALLY $100 IN V1.0).

13. Indemnification

You agree to indemnify GroupOut LLC from claims arising from your use of the Services, your User Content, or your violation of these Terms.

14. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Tennessee. Disputes will be resolved by binding arbitration on an individual basis where permitted. Courts in Knox County, Tennessee apply where arbitration is not enforceable.

15. Changes

We may update these Terms. Continued use after a new effective date constitutes acceptance.

16. Termination

We may suspend or terminate accounts for violations or safety concerns. You may request deletion via support@groupout.app.

17. Enforcement — Strike Policy

  1. Strike 1: Warning; content removed.
  2. Strike 2: Temporary suspension.
  3. Strike 3: Permanent termination.

We may immediately terminate accounts for severe violations, illegal content, or safety risks.

18. Miscellaneous

If any provision is unenforceable, the remainder stays in effect. These Terms and the Privacy Policy are the entire agreement between you and GroupOut.
